⚖️ Service Level Agreement (SLA) & Legal Framework¶

1. Professional Ethics & Data Sovereignty¶
As an on-premise installation, the Firm (Licensee) retains absolute custody of all client documents and data. Toraa Global (Vendor) has no access to data stored within the firm's physical or private cloud infrastructure except when explicitly granted for support purposes.
2. Software License Grant (Perpetual)¶
- Node-Locked: Each license is bound to a specific hardware signature (Node ID). Unauthorized replication is strictly prohibited.
- Seat Limit: The license covers [X] concurrent professional users as defined in the commercial agreement.
- Usage: Licensee may use the platform for client management, document vaulting, and compliance filing within the Federal Republic of Nigeria.
3. Maintenance & Support (S&M)¶
A mandatory Support & Maintenance (S&M) contract is required for the first 12 months, covering: - Security patches and NDPR compliance updates. - Quarterly template updates for FIRS/LIRS/CAC filings. - Access to the 'Privacy-First' AI Gateway (SmartRequestAI™).
4. Liability & NDPR Compliance¶
- Data Protection: The platform is built to be NDPR Compliant. However, the Licensee is responsible for appointing a DPO (Data Protection Officer) and conducting regular internal audits.
- Loss of Data: Licensee is responsible for implementing the backup procedures outlined in the Technical Manual. Vendor is not liable for data loss due to hardware failure or missing backups.
5. Termination & Continuity¶
- Upon termination, the Software will remain functional in 'Read-Only' mode to fulfill the 7-year ICAN/FIRS document retention requirements.
- Full functionality requires an active license activation key.
